New York Networks, Inc. (an early stage holding company) is developing entertainment
programming and products for children, teenagers and family. Our focus will be
to produce and distribute television programming and feature films that transcend
the worlds cultural differences. Also, We intend to produce and promote
live entertainment events for broadcasting over cable TV networks with worldwide

the television programs and characters, feature films and live entertainment events.
Our current projects include the production and distribution of The Dooley and
Pals Show, a childrens television series for 2 to 5 year olds; the production
and broadcasting of Next Big Star, an entertainment talent search hosted by television
personality Ed McMahon; the development of Extreme Team and Sk8ratz and two animated

Biographies of the Directors and Executive Officers
Sadik Albert Amato, age 55, is the founder and President of Mad Engine, Inc., where he has worked since 1987, and has also served as the President and Chairman of NYN since 2005. Mr. Amato has 33 years of experience in the apparel, licensing, manufacturing, distribution and retail industries, and he will become the Chief Executive Officer of the Company after the Asset Acquisitions are completed. Mr. Amato will use his experience in the industry to follow through with his new responsibilities at the Company, and will continue to be responsible for the day-to-day operations off Mad Engine.
Thomas Martinez, age 64, has 24 years of experience in T-shirt licensing and management. He has been a Vice-President of Mad Engine since . He is responsible for licensing, sales, marketing and merchandising. He has extensive relationships with product distributors, such as Wal-Mart, JC Penny's, Sears, Target and most of the major !independent retailers and distributors.
Javier G. Reyes, age 49, has over 25 years of experience in accounting, finance, management, information systems implementation, E-commerce, and a solid background as an entrepreneur. He has been the Chief Financial Officer of Mad Engine . His industry relations and knowledge encompasses that of the produce industry, import-export, and strong emphasis in the garment industry. He owned and operated his own business from 1993 to 1998. Thereafter, he worked in the sports apparel manufacturing, and for the last five years contributed to the phenomenal growth of Mad Engine. Currently he is attending a bachelor program at the University of Phoenix with a July 2006 expected completion date.
Ali Bahadoori, age 46, has over 24 years of experience in the garment industry. Mr. Bahadoori has been with ad Engine. He is a veteran of screen printing from top to bottom and well known and respected by his colleagues. Mr. Bahadoori is involved in product research and development from start to finish, and his creative talents in graphics art, production, and management skills are reflective of his contribution to the rapid growth of Mad Engine.
Griffin Bentley, age 33, has been with Mad Engine since 2003. After graduating from the University of California at Santa Barbara, he was involved in sales and marketing in both the frozen food industry, as ell as the computer software industry. Mr. Bentley has been instrumental in handling some of Mad Engine's larger accounts, such as Target and Wal-Mart Canada. Recently Mr. Bentley has become involved with the licensing of different properties for Mad Engine, with many of these leading to its current successes. Mr. Bentley has also become involved with the merchandising and planning of some of the newer retro brands at Mad Engine.
Joseph Fragomeno, age 29, has extensive experience in the management of facilities He has been with Mad Engine. His experience also includes the operation of large facilities such as the 120,000 square foot facility in San Diego, with the responsibility of over 275 employees. He has held management positions with Fashion resources/Terrent. His management has largely been credited with bringing efficiency to Mad Engine's operations, and with reducing its injury risk exposure and charge back rates, due to strict adherence and compliance to OSHA and to its customer requirements.
Stuart Koblen, age 53, has been in the apparel business for 31 years. He has been with Mad Engine. While in retail, Mr. Koblen worked for the Van Heusen Retail Division, Hugo Boss Retail, and
Nordstrom's Department store, and was responsible for many phases of the retail operations, from selling, buying, merchandising, floor presentation, and profitability. Upon moving to San Diego in 1998, Mr. Koblen joined Mad Engine working in the customer service department handling Levi Strauss and other accounts. Mr. Koblen was involved with the creation of the Shelf Stock program, which is used to ship to the independent accounts. The department was created to handle the specialty stores that cannot support the quantities required to produce styles. Mr. Koblen also is involved with both Mad Engine's wholesale web site, which is used to promote and sell Mad Engine products, as well as the retail site. Mr.
Koblen manages the production, shipping and personnel for the Shelf Stock department. All representatives also report to Mr. Koblen, whether they handle major accounts, or smaller independent customers.
Carol Meredith has been involved in the garment industry for more than 30 years with over 15 years at Mad Engine. She has extensive experience in many facets of the business, including retail buying for department and specialty stores, as well as sourcing and pre-production for several athletic and surf manufacturers. She has extensive knowledge of retailers' vendor compliance manual and requirements
Key Management Personnel of NYN
Ricky Schultz, is expected to manage Music for Little People, one of the key licenses of NYN. Mr. Schultz is a 30 year industry veteran whose strengths include marketing and general management. Mr. Schultz has held senior positions at Warner Brothers, Universal Studios, and at his own companies. Mr. Schultz added value to MCA Records during his tenure there, and he initiated the signing of Enya while at Warner Brothers Records which generated over $100 million in sales in the United States alone. Mr. Schultz is the first industry executive to earn a Masters of Science degree in Telecommunications, and has served as an advisor to Music for Little People since its formation
Mark Riddle ' will manage the Christian market channel, another of NYN's key licenses. Mr. Riddle has been President and Chief Executive Officer of Hunter & Associates, Inc., since 1997, which is a distributor of the Wynn Oil Company. Hunter & Associates, Inc. specializes in automotive services, products and service contracts in South Carolina and North Carolina, and exceeds 10 million in sales every year. Additionally, Mr. Riddle currently serves as President of Little Heart Entertainment, LLC, which specializes in development of Christian television shows and the development of licensed products for the Christian industry. In 1994, Mr. Riddle served as President of Mr. Z's Animation & Production Company where the television show Dooley & Pals was produced, and in 1996, Mr. Z's sold and co-produced its first Dooley and Pals property with Scripps Howard Broadcasting Company. In 1997, Mr. Riddle began serving as the co-creator and Executive Producer of the Dooley and Pals show, and participated in the creation of 39 episodes. Furthermore, Mr. Riddle served as the Executive Producer of a feature film, Triangle and Tribulations, from 1997 to 1998. Mr. Riddle has since served as the Executive Producer on a number of other projects, and has also served as the Chief Executive Officer and President of T.B. Riddles, Inc. from 1989 to 1995. From 1984 to 1988 Mr. Riddle established Emerald Designer Sports, R & R Screening, Inc., and Winners Circle MFG. All three companies were owned and operated by Mr. Riddle and specialized in designing, printing and manufacturing apparel for companies such as Reebok, Gitano, Bugle Boy and Nike. Mr. Riddle is expected to head the Christian market channel, another of NYN's key licenses. Mr. Riddle earned a Bachelor of Science from Lander University in 1984.
